Disclosure pursuant to Art. 5 sec. 1 lit. a) of Regulation (EU) No 596/2014 in connection with Art. 2 clause 1 of Delegated Regulation (EU) 2016/1052 (2022)
The share buyback program announced by Energiekontor AG on May 20, 2022 in an ad hoc announcement for the period from May 20, 2022 to June 30, 2023, inclusive, will be implemented. The securities firm or bank will repurchase a maximum of 80,000 shares of the Company, but the repurchase is limited to that number of shares or for a total purchase price of EUR 9,000,000. The acquired shares are to be used for all legally permitted purposes. Therefore, the Management Board uses the authorization granted by the Ordinary General Meeting on May 20, 2020 to repurchase its own shares in accordance with § 71 sec. 1 No. 8 AktG.
The securities company or bank was commissioned to repurchase the shares only on the stock exchange, independently and without the company’s influence. The Company’s right to terminate the mandate with a securities firm at any time and to commission another securities firm or investment bank remains unaffected. The offered purchase price per share (excluding incidental purchase costs) may not be more than 10% higher or lower than the average closing price on the Frankfurt Stock Exchange on three trading days prior to the publication date. The buy-back will be led by the credit institution in accordance with the Market Abuse Regulation and Art. Boards through regulatory technical standards on the terms and conditions applicable to buy-back programs and stabilization measures. Accordingly, a bank cannot acquire more than 25% of the average daily turnover of shares on the stock exchange where a given purchase is made in one day. The average daily trading volume for the shares is calculated on the basis of the average daily trading volume over the 20 trading days prior to the purchase date. Share buy-backs may be suspended and resumed at any time in accordance with legal requirements to be followed.
Transactions are carried out in accordance with one of the requirements of Art. 5 sec. 3 of the Regulation of the European Parliament and of the Council (EU) No. 596/2014 of April 16, 2014 in connection with art. 2 clause Delegated Regulation (EU) 2016/1052 at the latest by the end of the 7th session day after their implementation and published, inter alia, on the company’s website at https://www.energiekontor.de/investor-relations/aktienrueckkauf .html.
